Acceptance
By accessing or using the Services you agree to these Terms. If you are using Passeroo on behalf of a company, organisation or other entity, you represent that you have authority to bind that entity to these Terms.
1. Overview of the Service
Passeroo is a platform that enables businesses to create, manage, distribute, and update digital wallet passes for Apple Wallet and Google Wallet, including:
- Loyalty cards and stamp cards
- Memberships and member cards
- Coupons and promotional passes
- Event tickets
- Store cards and other supported pass types
The platform includes tools for pass template creation, issuance and distribution via link, QR code, email and SMS, real-time pass updates, push notifications, location-based (geofence) notifications, analytics and redemption tracking, REST API, webhooks and integrations, and team and multi-site management. Features may vary depending on plan level, device, or third-party platform capabilities.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use the Services. If you create an account, you are responsible for maintaining the security of your account and login credentials, all activities conducted under your account, and ensuring your users comply with these Terms. You must immediately notify us if you suspect unauthorised access to your account.
3. Accounts
To use most features of the Services you must create an account. You agree to provide accurate and complete information when creating your account and to keep that information up to date. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Fees
Passeroo offers the following subscription tiers:
- Starter - $0/month. Up to 1,000 active installed passes, 1 template, 1 team member, 500 marketing notifications per month, transactional push always free, QR landing page, email delivery, SMS delivery (pay-as-you-go).
- Growth - $299/month AUD. Up to 25,000 active installed passes, unlimited templates, 5 team members, 10,000 marketing notifications per month, transactional push always free, geofence triggers, REST API and webhooks, Square and Lightspeed integrations, white-label passes, priority email support.
- Enterprise - custom pricing. Unlimited passes and notifications, all POS integrations, multi-location management, SSO/SAML, audit logs, role-based access control, dedicated success manager, custom SLAs.
Unless otherwise stated, all pricing is in AUD. Subscriptions are billed monthly and renew automatically. Fees are billed in advance. Taxes may apply depending on jurisdiction.
Transactional push notifications are always free. Only marketing campaign notifications count toward monthly plan limits. Additional marketing notifications beyond plan limits are charged at $0.01 per notification. SMS delivery is charged per message at rates from $0.08 per message; carrier rates may apply.
If payment fails or an account becomes overdue, we may suspend access until payment is received. Monthly subscriptions are non-refundable. There are no lock-in contracts and you may cancel at any time.
We may update the entitlements included in any plan from time to time. Where we intend to reduce the entitlements of a plan you are currently subscribed to, we will provide at least 30 days notice via email or in-platform notification before the change takes effect.
5. Changes to the Service
Passeroo continuously improves and evolves the Services. We may add, modify, replace or remove features from time to time to improve functionality, maintain security, comply with regulatory requirements, or respond to third-party platform changes. Where reasonably possible we will avoid removing core functionality relied upon by active paying customers without notice.
6. Wallet Platforms and Third-Party Services
Passeroo integrates with third-party platforms including Apple Wallet, Google Wallet, Square, Lightspeed, Shopify, Stripe, email and SMS delivery providers, analytics providers, and infrastructure providers. These services operate independently. You acknowledge that wallet features may vary by device or platform, some functionality depends on third-party services, third-party outages may affect availability, and third-party policies may affect platform behaviour. Passeroo is not responsible for the actions or policies of third-party platforms.
7. Customer Content
"Customer Content" means all data, templates, images, branding, pass variables, customer data, and other materials uploaded or created through the Services. You retain ownership of Customer Content. By using the Services you grant Passeroo a worldwide, non-exclusive licence to host, process, transmit and display Customer Content solely for the purpose of operating and improving the Services.
You are responsible for ensuring your content is lawful, does not infringe third-party rights, complies with applicable privacy and marketing laws, and is accurate and not misleading.
8. Messaging and Notifications
Passeroo enables the sending of transactional pass notifications, marketing push notifications, email delivery, and SMS delivery. You are responsible for ensuring that your communications comply with applicable laws including anti-spam regulations, consumer protection rules, and consent requirements for marketing communications. You are responsible for maintaining valid consent records from pass recipients. Passeroo is not responsible for your compliance with these obligations. Delivery of messages depends on third-party infrastructure and cannot be guaranteed.
9. Acceptable Use
You agree not to use the Services for unlawful purposes, upload harmful or malicious code, attempt to access other customers' data, interfere with the operation of the platform, reverse engineer the Services, distribute spam or deceptive communications, infringe intellectual property rights, or misuse APIs or security mechanisms. We may suspend accounts that violate acceptable use policies.
10. API and Integrations
Access to the REST API and webhooks is included in Growth and Enterprise plans. Passeroo reserves the right to implement rate limits to protect platform stability. We will provide reasonable notice before deprecating API endpoints where doing so would materially affect active integrations. Passeroo does not guarantee API versioning or backward compatibility beyond what is documented at the time of integration.
11. Security and Compliance
Passeroo maintains technical and organisational security controls designed to protect the platform and customer data. These include:
- Encrypted communications (HTTPS / TLS)
- Role-based access controls
- Tenant data isolation
- Persistent data hosted within Australia on AWS infrastructure. Stateless and high-availability services may operate across multiple AWS regions to support platform resilience, however all functionality is delivered from Australian infrastructure by default.
- Monitoring and audit logging
Enterprise customers may request additional security documentation where required for vendor assessment or procurement processes.
12. Intellectual Property
All intellectual property in the Services, including software, documentation, and platform technology, remains the property of Passeroo or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Services while your account is active. Nothing in these Terms transfers ownership of the platform to you.
You may not use Passeroo trademarks, logos or brand assets without prior written permission, except as reasonably necessary to describe your integration with the Passeroo platform.
13. Feedback
If you provide feedback or suggestions regarding the Services, you grant Passeroo a perpetual licence to use that feedback without restriction or compensation.
14. Availability
We aim to provide a reliable platform but do not guarantee uninterrupted service. Service availability may be affected by infrastructure outages, scheduled maintenance, third-party failures, internet connectivity issues, security incidents, or events beyond our control. Unless stated in a separate written agreement, no service-level guarantees are provided.
15. Termination and Data Retention
You may cancel your account at any time. Passeroo may suspend or terminate access if you violate these Terms, payment obligations are not met, your use poses security risks, or we are required to do so by law.
Upon cancellation, your account will remain accessible until the end of the current billing period. Following that, your data will be retained for 30 days. During this period you may request an export of your account data. After 30 days, your data may be permanently deleted from active systems. Pass recipient data is retained while passes are active and deleted or anonymised within 30 days of pass expiry or account deletion. Billing records are retained for 7 years in accordance with ATO requirements. Security and audit logs are retained for 12 months.
16. Force Majeure
Passeroo will not be liable for failure or delay in performing its obligations where such failure results from events beyond our reasonable control, including natural disasters, internet outages, infrastructure failures, acts of government, labour disputes, cyber incidents, or failures of third-party service providers including Apple, Google, or payment processors.
17. Disclaimer of Warranties
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Passeroo disclaims all warranties including fitness for a particular purpose, uninterrupted availability, error-free operation, and guaranteed delivery of communications. Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.
18. Limitation of Liability
To the maximum extent permitted by law, Passeroo will not be liable for indirect or consequential damages, loss of profits, loss of business opportunity, loss of data, or reputational damage. Our total liability arising from the Services will not exceed the amount paid by you to Passeroo in the previous 12 months.
19. Indemnity
You agree to indemnify Passeroo against claims arising from your use of the Services, your Customer Content, your communications or marketing campaigns, or violations of law or third-party rights.
20. Governing Law
These Terms are governed by the laws of Victoria, Australia. Any disputes will be subject to the jurisdiction of the courts of Victoria.
21. Changes to These Terms
We may update these Terms from time to time. Updated versions will be published on our website with a revised effective date. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. For material changes, we will provide reasonable notice via email or in-platform notification.
